Terms and Conditions of Sale

Preamble

These General Terms and Conditions of Sale and Use govern and define the terms of access, registration, use, payment and termination of the services and products offered by SAS Popina, hereinafter referred to. SAS Popina has developed a computer program in the form of an application and a website that can be used to transform an iPad or iPhone device into a cash register in a café, bar or restaurant. These General Terms and Conditions of Sale and Use apply without restriction to all business transactions entered into by Popina. As a reminder, in the case of a sale to a professional, the relationship is governed by the Commercial Code and not by the Consumer Code, which is reserved for sales to private individuals. By becoming a Popina customer, you acknowledge that you have been fully informed of the existence and content of these terms and conditions, that you agree to abide by their terms and that you accept to be bound by their content. Validation of the order by the customer constitutes acceptance of these General Terms and Conditions of Sale and Use. This edition cancels and replaces all previous versions of the terms and conditions. The customer therefore undertakes to consult the said general terms and conditions on a regular basis, as the latest version in force will apply whenever a package has been subscribed to. These terms and conditions are presented in French.
Article 1 - Definitions
Popina means the company SAS Popina. CLIENT means any natural or legal person who has accepted the present Terms and Conditions of Sale and Use and who has subscribed to a PACKAGE. CONTRACT means the present General Terms and Conditions of Sale and Use governing the relationship between the CLIENT and Popina. PLATFORM means the www.popina.com website, which presents all Popina PRODUCTS available online, the dashboard and all other available content (descriptions, questions and answers, blog). DEVICE: Mobile device running programs, e.g. iPhone, iPad. APPLICATION: Computer program running on a device. Usually downloadable from an online application library ( App Store ). In Popina's case, the application is a program that turns the iPad into a cash register. DEMO MODE refers to the Popina application used in its demo mode, which can be used without a customer account. This demo mode is a version of Popina with pre-filled elements in its card, non-modifiable and which can be used as a support for an order-taking trial. FREE MODE is the Popina application used with a customer account that has not subscribed to a subscription. This free mode is a fully functional version of the Popina software for a limited period of one calendar month. This mode has been designed to allow the customer to test elements of his card that do not correspond to the example elements of the demo mode. LICENSE OF USE means the terms and conditions under which the CUSTOMER may use the Popina SOFTWARE. UPDATE means a version of the software that adds one or more functionalities, corrects one or more defects or modifies the software. However, an update does not change the version number of the software, and therefore does not constitute a new version. NEW VERSION means a new version of the software that is periodically and publicly released by Popina. It contains significant differences from previous versions of the software. It is considered a new product. PACKAGE: Packages correspond to the different levels of service described on the www.popina.com website to which the customer subscribes. Invoiced prices may vary depending on the package. RATES are understood to mean the price paid by the CLIENT to acquire one or more PRODUCTS or PACKAGES.
Article 2 - Modification of the General Conditions
Popina reserves the right to modify, withdraw or add certain elements to these Terms and Conditions. You should therefore consult them regularly. The modifications will come into force as soon as they are put online on the www.popina.com website. The General Conditions in force on the day of a purchase made by the customer are opposable to him, and entails his full acceptance of the content of any modifications that may have been made since the customer's initial registration. Popina's failure to exercise or enforce any right or provision of these Terms and Conditions shall not be deemed a waiver of such right or provision. These Terms and Conditions apply to the fullest extent permitted by law. If any provision of these General Terms and Conditions is found to be unlawful, void or unenforceable, that provision shall be deemed severable from these General Terms and Conditions and shall not affect the validity and enforceability of any remaining provisions. The fact that either party does not claim the application of any clause of the General Terms and Conditions or acquiesces in its non-enforcement, whether permanently or temporarily, shall not be construed as a waiver by that party of its rights under the said clause.

Article 3 - Access to the platform

The customer acknowledges that the first access to the platform is via the Internet and declares that he/she is responsible for the cost of supplying and installing a terminal, modem or any other equipment, as well as the cost of installing a telephone-Internet line to access the platform. Popina cannot be held responsible in the event of technical impossibility of connection (telephone breakdown, network breakdown, computer breakdown, power cut, etc.). Internet access is only required for the first connection to the Popina platform. Thereafter, the Popina platform does not require Internet access to access all functionalities. The customer acknowledges and accepts that the costs of telephone communications and Internet access enabling connection to the platform are borne exclusively by the customer, in accordance with the rates charged by the customer's telecommunications operator and Internet Service Provider (ISP). The Products are permanently accessible from Popina's website. However, for reasons of site updating and maintenance, access may be temporarily cut off. An update operation takes an average of 1 minute. Repair operations may take several hours, depending on the difficulty of resolving the problem. In this case, we will keep you informed via our social networks. For the application to send statistics and backups to our platform, the customer must connect the application to the Internet. During the order process, internet access is optional. However, we recommend using the application with an unlimited ADSL-type internet connection.
Article 4 - Application Downloaded via an Online Library
The customer can download the Popina application from all online application libraries from their device. When downloading the application, the customer provides Popina with his e-mail address and password, as well as his device identification number. The actual use of the application enables the customer to use the program free of charge, which transforms the touch tablet into a cash register. The application is then free for one calendar month. After this period, the customer must subscribe to the package to gain unlimited access to Popina. This free period is unlimited for the customer and his/her corresponding device. The customer may be notified by messages of the existence of the offering package mode. The free mode allows the customer to train his staff in the use of the Popina application. If the customer wishes to continue to work more comfortably and save his data with Popina, he must register at www.popina.com and subscribe to a package. Popina takes care of backing up personal data when switching from free mode to package.
Article 5 - Application subscribed online on the Popina website and Opening of an Account
The Popina application is on sale on the www.popina.com platform, and various packages can be subscribed to, corresponding to the different levels of service described on the site. Prices vary according to the package. The customer must create an account for which he/she must provide the following personal data: First and Last Name / Company Name, Address, Email and Password, and any other information requested by Popina in order to complete the registration and licensing process for the software. Popina reserves the right to refuse without reason and without delay to any person and/or entity the opening of an account on the platform. If the customer opens an account on behalf of a company, organization or other entity, then "the Customer" includes the person opening the account and the entity, with the person opening the account representing and warranting that he or she is an authorized representative of the entity with the power to bind the entity to these terms and conditions, and that he or she accepts on behalf of the entity. His access to the platform using his email and password is strictly personal and may not be lent, rented or sold in any form whatsoever, except with the express written consent of Popina. The customer is solely responsible for any activity that occurs under his account, and must keep his password secure. The customer must immediately notify the supplier of any unauthorized use of his account or breach of security. Popina will not be liable for any loss or damage caused by any unauthorized use of the customer's account.

Article 6 - Scorecard

The dashboard is a computer program that runs on the Internet, where it takes the form of a back-office website. An Internet connection and a compatible browser are required to use the dashboard. Some of the information stored on the device is replicated to the management site known as the dashboard. The entire map (categorization, items, prices, options, etc.) is sent to our servers for backup purposes. Cash register reports are sent to generate your statistics and accounting exports.

Article 7 - License to Use

Popina, subject to the terms and conditions of these terms and conditions, grants the customer a non-exclusive, non-transferable license to use the software included in the package purchased. The term of this license to use granted to the customer begins with the purchase on the Popina application platform, which entails the customer's agreement to these terms and conditions of sale and use, and shall continue indefinitely, unless terminated in accordance with the terms hereof. The customer has no right to reproduce, distribute, exchange or sell the software in any form whatsoever, whether directly or indirectly remunerated. Accordingly, the customer has no right to sublicense or assign the benefit or encumbrance of this agreement, in whole or in part, or to permit the software to become the subject of any encumbrance, privilege or charge without Popina's prior written consent. Popina may, however, sublicense, assign, encumber or transfer any of its rights or obligations under this Agreement, provided that it gives prior written notice to the Customer. The customer shall not modify, adapt or pirate the software and falsely imply that it is associated with any product or service provided by Popina. The customer may not use his account for illegal or unauthorized purposes and may not, in the use of this service, violate any laws in force in the jurisdiction of his country (including, but not limited to, intellectual and industrial property laws). Downloading of any restricted content may result in immediate account termination.

Article 8 - Purchase of a Package

When a customer creates a Popina account, he is automatically assigned to the free package. This free package is explained in ARTICLE 1 as free mode. Its duration is limited to one calendar month. The purchase of a package, i.e. a subscription, activates unlimited use of Popina for the duration of the subscription. All Popina monthly packages are non-binding. You can unsubscribe at any time by writing to support@popina.com. You will only pay for the time you have used up to the end of the month.

Article 9 - Payment

Payment by credit card is accepted for all packages and products offered on the Popina website. Bank payment is handled by Stripe, 3180 18th St, San Francisco, CA 94110 United States of America. www.stripe.com. Orders paid for will be recorded and validated as soon as Popina has received confirmation of payment from its online payment service provider and its bank. The customer's bank account will be debited monthly at the beginning of the period. The sale price of the package will be that indicated on the order form on the day of acceptance by the customer. In the event of total or partial non-payment of the package, Popina may suspend access to the software. Popina reserves the right to deactivate without prior notice any personal identifier and/or password in the event of non-payment during the execution or renewal of the contract.
Article 10 - Withdrawal Period Applicable to Natural Persons Only
Professionals are expressly excluded from this provision, as the Consumer Code does not apply to them. In accordance with ARTICLEs L 121-16 et seq. of the French Consumer Code, the customer is informed that he/she has a period of seven clear days from the date of purchase (provision of Popina) to exercise his/her right of withdrawal, without penalty and without reason. However, in accordance with ARTICLE L 121-20-2, 1° of the French Consumer Code, the right of withdrawal may no longer be exercised once the customer has accessed the services concerned. This right of withdrawal must be exercised by sending a registered letter with acknowledgement of receipt to Popina's customer service department: 100 avenue du Général Leclerc, Bureau 228, 93500 Pantin The price paid by the customer for the purchase from which he/she wishes to withdraw will be credited to the customer's bank account as soon as possible and, in any case, no later than thirty (30) days from the date on which the customer exercises his/her right of withdrawal. However, in accordance with ARTICLE L.121-20-4 of the French Consumer Code, no right of withdrawal may be exercised if the service has already begun on the day Popina receives the request for withdrawal.
Article 11 - Termination of the Contract
Popina has set up a simple procedure for terminating the contract in order to guarantee secure access to the application subscribed to by the customer and to allow automatic operation of account creation and cancellation and application subscription on the platform. The customer undertakes to follow the specific termination procedure and acknowledges that any other means used (postal mail, telephone, etc.) may not be used against Popina to claim termination of this contract. The customer may terminate the contract by following the procedure below: the customer sends an e-mail to info@popina.com indicating his/her wish to terminate Popina's application and for what reason(s). A confirmation e-mail will be sent to the customer to confirm the termination, which will be effective immediately. Popina may terminate customers' accounts without giving reasons. Once the contract has been terminated, the customer's rights and obligations disappear, in particular the right to use the software. The customer therefore expressly and irrevocably undertakes to destroy all traces and copies of the software. The customer undertakes to pay Popina any sums still due.
Article 12 - Privacy Policy
Soucieux du respect de la vie privée de ses client et de la protection des informations personnelles qu’ils fournissent, la société Popina respecte la législation en vigueur en matière de protection de la vie privée. Par « Informations Personnelles » il est entendu les informations pouvant vous identifier en tant qu’individu particulier ou entreprise, comme par exemple votre nom, dénomination, adresse ou siège social, votre adresse e-mail, ou coordonnées bancaires. Les Informations Personnelles ne comprennent pas les informations statistiques ou globales. Le site www.popina.com a fait l’objet d’une déclaration auprès de la Commission nationale de l’informatique et des libertés (CNIL) sous le numéro de récépissé 1714279v0.


12.1. Informations collectées

Popina recueille les informations personnelles que le client lui fournit volontairement lorsqu’il utilise le site, comme, par exemple, des :
• Informations relatives à une enquête et/ou des inscriptions sur le site,
• Informations relatives à une commande en ligne,
• Informations relatives au paiement,
• Informations intégrées par le client dans le logiciel (produits, stocks, informations clients, prix)

Ces informations sont conservées uniquement pour un usage entre le client et Popina. Si le client s’inscrit sur la plateforme, dans la mesure où il souhaite travailler avec Popina les informations suivantes le concernant sont recueillis:
• Name complet (société ou particulier)
• Adresse
• Adresse e-mail
• Numéro de téléphone
• Identifiant du device
• Date de téléchargement de l’application et de son lancement
• Informations relatives au paiement et coordonnées bancaires
• L’ utilisation spécifique du site et données intégrées lors de l’utilisation du logiciel

Toute personne disposant de l’identifiant personnel et du mot de passe du client sera considérée comme agissant au nom et pour le compte du client. Si le client ouvre un compte web, il lui sera demandé de choisir un mot de passe pour aider à la protection de vos informations. Ces mots de passe aident Popina à vérifier l’identité du client avant d’autoriser l’accès ou d’apporter des corrections à l’une quelconque des informations personnelles. Le client ne doit jamais divulguer son mot de passe à quiconque. Popina ne demandera jamais le mot de passe dans le cadre d’un appel téléphonique ou d’un e-mail non sollicités. Le client est responsable de veiller à ce que son mots de passe et toutes informations concernant un compte demeurent secrets. Il est interdit d’utiliser le compte d’un autre client. Lorsque le client consulte une page sur du site Internet, quelle qu’elle soit, Popina utilise les fichiers journaux de serveur web standard pour contrôler et évaluer les capacités et performances techniques du site. Popina utilise ces informations pour savoir combien de personnes ont consulté le site web, pour déterminer les informations qui intéressent le plus les visiteurs sur le site et pour apporter des améliorations au site.


12.2. Utilisation des données collectées

Les informations et données concernant le client sont nécessaires à la gestion de votre commande et à relations commerciales avec Popina. Elles lui appartiennent. Cependant, elles peuvent être transmises aux sociétés qui contribuent à ces relations pour l’exécution des services et commandes pour leur bonne gestion, réalisation, transport, paiement et facturation. Par exemple, il est possible que Popina divulgue des informations à des tierces parties fournissant des services administratifs ou de traitement comme, par exemple, l’impression, le publipostage et le traitement des paiements. Le contrat conclu avec ces tierces parties leur interdit d’utiliser les informations sauf pour fournir le produit ou service que le client a sollicité. Ces informations et données sont également conservées pour permettre à Popina d’améliorer et personnaliser les services (newsletter, accueil personnalisé sur le site Internet…) proposés et les informations adressées et également à des fins de sécurité, dans le respect des obligations légales et réglementaires. En fonction des choix que le client a émis lors de la création ou de la consultation de son compte depuis le site Internet de Popina, il, ainsi que ses partenaires identifiables dans les données inscrites dans le logiciel, seront susceptibles de recevoir des offres de la société Popina, ainsi que de sociétés et enseignes de sociétés partenaires. Si le client ne le souhaite plus, il peut à tout moment en faire la demande en le précisant dans son compte rubrique « mon compte ». Le site Internet de Popina est également conçu pour être particulièrement attentif aux attentes des différents clients. C’est uniquement pour cela qu’il peut être utiliser un cookie. Le cookie a pour but de signaler le passage sur le site. Ils ne sont donc utilisés par Popina que dans le but d’améliorer le service personnalisé offert Popina utilise également les informations personnelles du client pour :
• Compléter toute inscription, tous achats ou toutes autres transactions sollicitées en ligne
• Améliorer le site web
• Améliorer les produits et services ainsi qu’identifier, développer et proposer des produits et services
• Personnaliser la visite sur le site et adapter au besoins le contenu et/ou le format des pages que le client consulte
• Informer de mises à jour, de produits, services et/ou offres spéciales, de ses sociétés affiliées et de tierces parties sélectionnées
• Demander de participer à de petites enquêtes
• Produire des études statistiques globales et mener des recherches ayant un lien avec les produits et services et l’utilisation du site web
• Collecter les données d’utilisation sur l’application
• Mentionner le client sur une liste de référence que Popina pourra diffuser auprès de ses prospects

Il est aussi possible que Popina divulgue les informations personnelles recueillies sur le site web, en conformité avec la législation applicable, pour revendiquer ou défendre ses droits et sa propriété, pour empêcher que des préjudices soient causés à des tiers, pour recouvrer une dette ou pour répondre à des procédures judiciaires. Si le propriétaire de tout ou partie du site www.popina.com venait à changer, les informations personnelles des clients pourraient être transférées au nouveau propriétaire pour que le service puisse continuer à opérer. En cas d’un tel transfert d’informations, les informations d’utilisateur resteront soumises aux promesses faites dans toute politique de confidentialité préexistante.


12.3. Sécurité et conservation des données

Le site www.popina.com fait l’objet d’un système de sécurisation et notamment des procédés de cryptage HTTPS et SSL. Dès lors que l’appareil dispose d’une connexion à Internet, l’ensemble des informations emmagasinées dans le logiciel Popina sur le support sont répliquées et stockées sur un site de gestion appelé le tableau de bord, ainsi qu’il a été vu ci-avant à l’ARTICLE 6 des présentes conditions générales. Ce site, hébergé sur un serveur virtuel sécurisé, permet à l’utilisateur d’avoir accès à la réplique exacte de sa caisse enregistreuse, et de pouvoir effectuer toutes les opérations de maintenance nécessaires à la gestion de son activité (édition des journaux de caisse, gestion de son catalogue, des employés…). Popina a mis en place des protections contribuant à éviter l’accès non autorisé ou la mauvaise utilisation de vos informations personnelles, mais ne peut pas garantir que vos informations personnellement identifiables ne seront jamais divulguées d’une façon qui ne serait pas en conformité avec la présente Politique de Protection de la Vie Privée (par exemple, suite à des actions non autorisées de la part de tierces parties enfreignant la législation ou les politiques du web applicables). Lorsque le client fournit des informations concernant une carte de crédit, elles sont transmises avec le protocole de sécurisation SSL pour empêcher un accès non autorisé ou une mauvaise utilisation de ces informations. Il relève de la responsabilité du client de ne pas communiquer son mot de passe à un tiers afin d’éviter toutes commandes abusives. Popina n’engage en aucun sa responsabilité dans ce cas. Le client est entièrement responsable de l’utilisation de ses identifiant personnel et mot de passe. En cas de perte ou de vol du mot de passe, une procédure de réinitialisation de celui-ci est accessible depuis la page de connexion. Pour des raisons de sécurité, nous ne stockons pas les mots de passe sur nos serveurs, c’est pourquoi nous vous enverrons un mail contenant un lien unique afin de réinitialiser celui-ci. Popina se réserve le droit de désactiver tout identifiant personnel et/ou mot de passe qui seraient utilisés en même temps par deux utilisateurs différents. Cette désactivation, dont le client sera préalablement informé par courrier électronique envoyé par Popina à l’adresse électronique indiquée par le client dans le formulaire d’enregistrement de l’offre d’abonnement souscrite, entraînera la résiliation de plein droit du contrat.


12.4. Droit d’accès, de modification, de rectification et de suppression des données personnelles.

Chaque client peut, lors de son inscription ou à tout moment ultérieurement, demander à ne plus recevoir la newsletter et/ou les offres de Popina ou de ses partenaires qui lui sont adressées par email et/ou sur son mobile de la part de Popina et/ou de ses partenaires. Conformément à l’ARTICLE 34 de la loi 78.17 du 6 janvier 1978, dite Loi Informatique et Liberté, vous disposez d’un droit d’accès, de modification, de rectification et de suppression de vos données personnelles. Il vous suffit de nous écrire en ligne à l’aide de la rubrique contact ou par courrier à Popina, 100 avenue du Général Leclerc, Bureau 228, 93500 Pantin, en nous indiquant vos nom, prénom, e-mail adresse et si possible votre référence client.
Article 13 - Intellectual Property
All comments, logos, images and software on the Popina website are reserved under intellectual property and copyright law. As such, only private use is authorized, subject to different, or even more restrictive, provisions of the intellectual property code. Total or partial reproduction of the Popina website is strictly forbidden. Access to the products never entails the transfer of reproduction, representation, exploitation rights and more generally all intangible rights recognized or to be recognized who have participated in the design, realization and distribution of our products. The Products may not be distributed on other Internet sites without the express authorization of Popina, except for material provided in the press kit.
Article 14 - Frequently Asked Questions and Software Support
The most frequently asked questions are answered in the Frequently Asked Questions (FAQ) section of the site. After-sales service for Popina software is provided by Popina, and technical/commercial questions will be answered as quickly as possible by e-mail to info@popina.com. Consumables and software are not covered by the warranty. In the event of failure of any equipment under warranty, Popina cannot be held responsible for any consequences on the customer's operations or personnel, or for the loss of data recorded by the customer. The customer must therefore make the necessary back-ups.

Article 15 - Liability

The customer must have the skills, hardware and software required to use the Internet and acknowledges that the characteristics and constraints of the Internet do not guarantee the security, availability and integrity of data transmissions over the Internet. The customer may not hold Popina liable for the functioning and operation of the site. The customer is responsible for ensuring that the contact information provided at the time of ordering is correct and that it will allow access to the Products purchased. Popina cannot be held responsible if the customer does not receive an order confirmation due to an error made by the customer in entering his/her contact information. The customer is entirely responsible for their use. The customer undertakes to make every effort to keep these identifiers secret and not to divulge them to anyone. In the event of disclosure, loss or fraudulent use of these identifiers, it is the customer's responsibility to notify Popina immediately, so that Popina can change them. The images illustrating each product sheet are provided for illustrative purposes only. We invite you to refer to the description of each product to know the exact content. Popina cannot be held responsible for any loss of data or files, or for any damage whatsoever related to the use of the customer's computer equipment. Popina cannot be held responsible for any direct or indirect, personal or professional prejudice resulting from the results obtained by the customer following the use of a product, the choice of data and the use of the software by the customer being strictly personal and attributable to him. Furthermore, Popina shall not be held liable in the event of malfunction, inability to access, or poor conditions of use of the site due to unsuitable equipment, disruptions attributable to the member's access provider, congestion of the Internet network, and/or for any other reason external to Popina, or during occasional maintenance of the site, although once connected, Popina does not require access to the Internet. All information is provided "as is". Popina makes no warranties, express or implied, and assumes no liability in connection with the use of this information. Popina is not responsible for the accuracy, errors/bugs or omissions contained on this site. The user is solely responsible for the use of such information. Popina shall not be liable for any damages whatsoever, whether direct or indirect, resulting from information contained on the popina.com website. The software is generic and has therefore not been created for the specific needs of a customer and/or a precise activity. The orientation of the software development (functionalities, properties) is exclusively chosen by Popina. The user is solely responsible for the use of the products presented on the popina.com website. Popina gives no guarantee and assumes no responsibility for the use, copying, transmission and any use of the information, of whatever nature, contained on this site and/or possible pirating of the software. In any case, in the event that Popina is held liable for any reason whatsoever, the total amount of compensation that Popina may be required to pay to the customer shall not exceed the total amount received by Popina from the customer, regardless of the legal basis of the claim and the procedure used to bring it to a successful conclusion. Popina undertakes to do its utmost, within the framework of an obligation of means, to resolve any technical incident on its platform. Popina reserves the right to interrupt the service in whole or in part without reason and without the possibility of claiming damages; the data collected will then be returned. Popina shall not be held responsible for any loss of business or damage claimed by the customer as a result of using the software.

Article 16 - Domicile - Applicable Law and Jurisdiction

The parties elect domicile at the addresses indicated on the site www.popina.com for the customer and at the address of the registered office for Popina. These terms and conditions are governed by French law. The competent courts in the event of a dispute shall be those of the city of Paris.
